Terms of Use

1. Service

ThauRed is a research and drafting assistant for Reddit engagement, consisting of a web dashboard (app.thaured.com) and a browser extension. It helps you find relevant Reddit threads, warm up your account with genuine engagement, and draft replies that you review and post yourself. ThauRed does not post to Reddit on your behalf.

Registration requires a valid email address or Google authentication. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately of any unauthorized access.

2. Eligibility

To use the Service you must be at least 18 years old, have the legal authority to accept this agreement, and comply with all applicable laws as well as Reddit's User Agreement and the rules of any subreddit you engage with.

3. License and License Restrictions

IvorySoft LLC grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own lawful use. You may not, and may not permit others to:

• •copy, distribute, sell, sublicense, or modify the Service;
• •reverse engineer, decompile, or attempt to extract source code, except as permitted by law;
• •disrupt or overload our servers, or circumvent security or rate limits;
• •use bots, scrapers, or automated systems to access the Service other than as intended;
• •use the Service to send spam, or in any way that violates Reddit's rules or applicable law.

4. Intellectual Property Rights

Ownership. IvorySoft LLC retains all intellectual property rights in the Service, including its software, design, text, and graphics.

Use of content. The Service and its content are for your permitted use only; distribution is prohibited except as expressly allowed.

Third-party software. Where third-party components are included, the applicable third-party terms govern in the event of a conflict.

5. User Content

Your content. You retain ownership of the content you provide — your projects, product details, settings, connected Reddit account information, and drafts.

Confirmations. You represent that you have the necessary rights to the content you provide and that its use does not violate any law or third-party rights.

License to your content. You grant IvorySoft LLC a worldwide, royalty-free license to use, process, store, and display your content solely to operate and improve the Service for you, including sending relevant content to AI providers to generate drafts.

6. AI-Generated Content

Scores and reply drafts are generated using AI and may contain inaccuracies or imperfections. You acknowledge that drafts are suggestions only, are not professional advice, and must be reviewed and edited by you before you post anything. You are solely responsible for the content you ultimately post to Reddit.

7. Subscriptions & Payments

Paid features require a subscription. Subscriptions are billed through our payment processor, Stripe, and renew automatically until cancelled. Free scans and trials are provided as described on our pricing page and in our Subscription Policy, which is incorporated into these Terms by reference.

8. Reddit & Acceptable Use

ThauRed is designed to help you engage on Reddit authentically and in accordance with the rules. You are solely responsible for your conduct on Reddit and for complying with Reddit's User Agreement and each subreddit's rules.

You agree not to use the Service to spam, deceive, harass, manipulate votes, evade bans, or otherwise violate Reddit's rules or applicable law. We may suspend accounts that do so.

ThauRed is an independent tool and is not affiliated with, endorsed by, or sponsored by Reddit, Inc. We do not guarantee any particular outcome on Reddit, and we are not responsible for actions Reddit takes against your account.

9. Privacy & Data

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Third-Party Services

The Service integrates third-party services, including Supabase, Google (Sign-In, Firebase/Analytics), Amplitude, Stripe, Vercel, AI providers (e.g. via OpenRouter), and Reddit. We are not responsible for the practices, content, or availability of third-party services, and your use of them may be subject to their own terms.

11. Termination

We may suspend or terminate your access for violations of these Terms, prolonged inactivity, security concerns, or as otherwise permitted by law. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Intellectual Property, AI-Generated Content, Copyright, Dispute Resolution, Disclaimers, Limitation of Liability, and Indemnification) will survive. You may delete your account at any time through the Service or by contacting us.

12. Copyright Policy

We respect intellectual property rights. If you believe content available through the Service infringes your copyright, send a written notice to our designated agent at [email protected] (Attention: Copyright/IP Notice, IvorySoft LLC) including: your signature; identification of the work; identification of the allegedly infringing material; your contact information; a good-faith statement; and a statement, under penalty of perjury, that your notice is accurate and you are authorized to act.

We reserve the right to seek damages for knowingly false notifications.

13. Dispute Resolution — Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Applicability. This section governs any dispute arising from your use of the Service or these Terms (whether in contract, tort, statute, or otherwise), except claims that may be brought in small-claims court and claims for equitable relief regarding intellectual property.

Initial resolution. Before starting arbitration, you agree to first try to resolve the dispute informally by contacting us at [email protected] and negotiating in good faith for at least 60 days.

Binding arbitration. If not resolved, disputes will be settled by binding arbitration rather than in court. For non-US residents, arbitration will be administered by the London Court of International Arbitration (LCIA) under English law; for US residents, by JAMS under Delaware law and the Federal Arbitration Act. Proceedings may be conducted by video or teleconference.

Class action & jury waiver. Claims may be brought only on an individual basis, not as part of any class or consolidated action. You and we waive the right to a jury trial and to participate in a class action.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to [email protected] (subject: "Arbitration and Class Action Waiver Opt-Out") within 30 days of first accepting these Terms.

Severability. If any portion of this section is found unenforceable, the remainder will continue to apply.

14. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that AI-generated drafts will be accurate or suitable.

The Service does not provide legal, marketing, or professional advice, and we do not guarantee any results on Reddit, including that your account will not be actioned or banned by Reddit.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IvorySoft LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON AI-GENERATED CONTENT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless IvorySoft LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of third-party rights (including Reddit's rules), or your content.

17. Changes to the Agreement

We may modify these Terms by posting the updated version and, where appropriate, providing notice. Changes are effective upon posting unless stated otherwise. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our prior written consent.

18. Electronic Signature

By clicking "I agree," "Continue," "Sign up," or a similar button, or by using the Service, you consent to enter into this agreement electronically, and such action constitutes a legally binding electronic signature.

19. Miscellaneous

Governing law & venue. These Terms are governed by the laws of Ukraine, excluding its conflict-of-laws principles. Disputes not subject to arbitration will be brought exclusively in the courts of Ukraine; for US residents, Delaware law and the Federal Arbitration Act govern arbitration as described above.

Entire agreement & severability. These Terms, together with the Privacy Policy and Subscription Policy, form the entire agreement between you and us. If any provision is found invalid, the remainder continues in effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Force majeure. We are not liable for failures to perform due to events beyond our reasonable control.
